Slaughter and May is advising Sir Jim Ratcliffe, Chairman of INEOS, on the acquisition of up to 25% of the shares in Premier League football club, Manchester United (the ‘Club’).
The acquisition involves the purchase of 25% of Class B shares in Manchester United plc from the Glazer family and a tender offer to acquire up to 25% of the publicly listed Class A shares in Manchester United plc. Sir Jim has also agreed to provide an additional $300 million to the Club, intended to enable future investment into Old Trafford.
Closing is subject to, among other things, the completion of the tender offer and the receipt of certain regulatory approvals, including from the Premier League.
As part of the transaction, INEOS has accepted a request by the Manchester United board to be assigned responsibility for the management of the Club’s football operations (including all aspects of the men's and women's football operations and academies).
Slaughter and May, led by partners Andrew Jolly and Hywel Davies, has been working closely with INEOS’s internal legal team Dan Lawrie (General Counsel), Andrew Hogan and Jen Clifton.
