Slaughter and May is advising Aviva plc (“Aviva”) on the sale of its entire shareholding in Aviva Poland to Allianz for cash consideration of €2.5 billion.
The transaction is subject to customary closing conditions, including regulatory and anti-trust approvals, and is expected to complete within 12 months.
Slaughter and May, led by corporate partners Claire Jackson and Richard Smith, has been working closely with the Aviva legal team, led by Kirsty Cooper, Neil Harrison, Kat Goulder and Alex Eadie. WKB, led by Jakub Jędrzejak are advising on the Polish law aspects of the transaction. Cobalt are advising on the Lithuanian law aspects of the transaction.
The sale of Aviva Poland is a significant milestone in the delivery of Aviva’s strategy and marks the eighth divestment Aviva has announced in the past eight months. Slaughter and May has also advised Aviva on the disposals of its interests in Hong Kong and Indonesia, the sale of its majority shareholding in Aviva Singapore, its exit from Vietnam and its recent sale of Aviva France.
